These Terms of Service ("Terms") constitute a legally binding agreement between After Hours Prime ("Company", "we", "us", or "our") and the participating medical aesthetic practice, MedSpa, plastic surgery clinic, or healthcare provider ("Client", "Practice", or "Partner") accessing or utilizing our 24/7 conversational concierge platform, telephony services, scheduling integrations, and software systems.

1. Service Description & Scope of Operations

After Hours Prime provides specialized after-hours telephonic and digital inquiry intake, patient qualification, and consultation appointment scheduling systems engineered specifically for aesthetic medical practices. The service is operated from Austin, Texas, and deployed on Cloudflare edge computing infrastructure.

2. Transparent Commercial Terms & Founding Partner Rate Lock

Participation is subject to transparent, non-predatory pricing:

• Founding Plan Subscription: $149 USD per month, with the first month paid upfront. No setup fee. Includes 500 minutes/month of concierge calls. Rate is locked for as long as your clinic stays active. Limited strictly to the first 3 clinics.
• 30-Day Money-Back Guarantee: Governed by our refund policy detailed at afterhoursprime.com/refund. If After Hours Prime isn’t working for you in the first 30 days, the first month ($149) is refunded in full upon written notice.

3. Client Responsibilities & Call Forwarding Activation

Client agrees to maintain active after-hours or peak-overflow call forwarding to their assigned concierge telephone line during the evaluation period, provide accurate baseline treatment guidelines and starting investment ranges, and promptly respond to emergency clinical escalations delivered by the system.

4. Data Security, Privacy & HIPAA Provisions

All data transmissions are protected by 256-bit TLS encryption in transit and AES-256 encryption at rest. We adhere to the Texas Data Privacy and Security Act (TDPSA). Where required for clinical chart ingestion or formal electronic health record access, standard Business Associate Agreement (BAA) execution is available upon request.

5. Governing Law & Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Texas, United States, without giving effect to any principles of conflicts of law. Any legal proceeding, dispute, or claim arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located in Travis County, Austin, Texas.
